Terms of Use

These Terms and Conditions of use (“Terms of Use”) apply to the use of any RedEye Network Solutions, LLC (“RedEye Networks” or “RedEye” or “us”) web site (collectively, the “Site). All other services offered by and not available by accessing the Site are the subject of a separate agreement. By using this Site, you agree to be bound to the Terms of Use and any other applicable agreements.

It is your responsibility to check these Terms of Use periodically for changes, as RedEye reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time.

Privacy. All information provided by you in connection with the Site shall be governed by the RedEye Privacy Policy at https://www.redeyenetworks.com/privacy-policy.

Age Eligibility. The Site is provided by RedEye and available only to persons who have reached the age of legal majority and are competent to enter into legally binding agreement(s) under the applicable law. If you do not meet all of these requirements, you are not permitted to access or use this Site.

Content and Ownership. Any and all intellectual property rights (“Intellectual Property”) associated with the Site and its contents (the “Content”) is owned, controlled or licensed by or to RedEye. The Content is protected by copyright, patent and trademark laws, unfair competition and other laws and may not be copied or imitated in whole or in part. Unless expressly authorized by these Terms of Use, you may not copy, reproduce, modify, amend, lease, loan, sell and/or create derivative works from, upload, transmit, and/or distribute the Intellectual Property of the Site in any way unless expressly authorized by RedEye’s written consent. You may not use any “deep-link”, “page scrape”, “robot”, or other automatic device, program, algorithm or methodology, or similar manual processes to access, acquire, copy, or monitor any portion of the Site or Content, to obtain or attempt to obtain any information through any means not purposely made available through the Site. RedEye does not grant you any express or implied rights to the Intellectual Properly of RedEye or that of any third party.

Prohibited Uses. In addition to other prohibitions set forth in these Terms of Use, you are prohibited from using the Site or its Content:

• For any unlawful purpose, including soliciting others to perform or participate in any unlawful acts.
• To violate any international, federal, state regulations, rules, laws or local ordinances.
• In any manner that could render the Site unavailable or unusable.
• For infringing on any patent, trademark, trade secret, copyright or other intellectual property or other rights of any other person.
• To submit any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
• To promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationally, disability, sexual orientation, or age.
• To send unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letter,” “pyramid scheme” or investment opportunity, or any other form of solicitation.
• To introduce any viruses, worms, logic bombs, or trojans or other malicious material that is considered harmful.
• To harvest or collect personally identifiable information about other users of the Site.
• Deceive any person, including impersonating any person or misrepresenting your identity or affiliation with an organization and submitting false or misleading information.
• To interfere with or circumvent the security features of the Site.

RedEye reserves the right to terminate your use of the Site for violating any of the prohibited uses.

Links to Other Sites. The Site may contain links to third-party websites (“Linked Sites”). Such linked websites are not under RedEye’s control, and RedEye is not responsible for their content. RedEye makes no representations or warranties regarding the correctness, accuracy, availability, performance or quality of any content, services, applications or software found at any Linked Site. If you choose to access Linked Sites, you do so at your own risk and are responsible for acknowledging any terms and conditions and policies applicable to the Linked Site.

Termination. By using this Site, you agree that at RedEye’s sole discretion may terminate or suspend your use of the Site and Content at any time and for any or no reason. At termination or suspension, you must immediately (i) discontinue your use of the Site and (ii) destroy any copies you may have made of any portion of the Content. Accessing the Site after such termination or suspension shall be considered an act of trespass. You also agree that RedEye shall not be liable to you or any third party for any termination or suspension of your access to the Site.

Warranties. YOUR USE OF THE SITE, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE ARE PROVIDED AN “AS IS” AND “AS AVAILABLE”, WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND REDEYE DOES NOT WARRANT THAT THE SITE OR ITS CONTENT WILL BE UNINTERRUPTED OR ERROR FREE; NOR DOES REDEYE MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SITE OR ITS CONTENT. REDEYE ACCEPTS NO LIABILITY FOR ANY LOSS ARISING AS A RESULT OF ANY ACTION TAKEN OR REFRAINED FROM AS A RESULT OF INFORMATION CONTAINED ON THIS SITE OR AN OTHER SITES TO WHICH THIS SITE MAY BE LINKED AND REDEYE SHALL HAVE NO OBLIGATION TO UPDATE THE SITE. Limitation of Liability. TO THE EXTENT PERMITTED BY APPLICABLE LAW AND TO THE EXTENT THAT REDEYE IS OTHERWISE FOUND TO BE RESPONSIBLE FOR ANY DAMAGES, REDEYE SHALL BE RESPONSIBLE FOR ACTUAL DAMAGES ONLY TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REDEYE, ITS AFFILIATES, LICENSORS, SUPPLIERS OR ANY THIRD PARTIES MENTIONED AT THE SITE WILL BE LIABLE FOR ANY INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE, AND/OR CONSEQUENTIAL DAMAGES, LOST PROFITS, AND/OR DAMAGES RESULTING FROM

Indemnification. You agree to indemnify, defend and hold harmless RedEye and our subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorney fees, made by any third-party due to or arising out of your breach of the Terms of Use or the documents they incorporate by reference, or our violation of any law of the rights of third-party.

Lawful Requests. Where law enforcement authorities or a court order request or directs us to disclose the identity or other information of anyone posting any materials on or through the Site. YOU AGREE TO HOLD HARMLESS THE COMPANY FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER THE COMPANY OR LAW ENFORCEMENT AUTHORITIES.

Governing Law. You and RedEye agree that these Terms of Use shall be governed and construed in accordance with the laws of the state of Arizona.
